1. Definitions and terms of the offer for consulting services
1.1. For the purposes of this document, the following terms are used with the following meanings:
a) Offer - the text of this document with all applications, changes and additions to it, posted on the Site and available on the Internet at: http://babylon20.com
b) Agreement - an agreement for the services of a conversation club between the Contractor and the Customer, which is concluded and executed in the manner prescribed by this Offer.

, which undertook to provide services under the Agreement concluded in accordance with this Offer.
d) Customer - a person who placed an Order under the terms of this Offer (under the concluded Agreement) or intending to perform these actions (at the stage of concluding the Agreement).
e) Parties - the Contractor and the Customer under the Agreement concluded in accordance with this Offer.
f) Services - services of a conversation club under the Agreement concluded in accordance with this Offer.
The list of Services can be specified in the Tariffs and specified in the Offer invoice.
g) Order - the order of the Customer for the provision of consulting services, received by the Contractor in the manner prescribed by this Offer. The terms of the Order are set out in the Offer-Invoice and are confirmed by the Customer by paying for it or by performing other actions indicating the consent to pay the specified Offer-Invoice in accordance with this Offer.
In the considered Offer, the Order is not obligatory for the Contractor. He agrees the terms of the Order by issuing a separate Invoice-Offer in the form of a written or electronic document.
h) Invoice-offer - a document drawn up by the Contractor, which sets out the conditions of the accepted Order, including the name of the ordered services, the amount of remuneration, and other essential and necessary conditions of the Agreement concluded in accordance with this Offer.
Together with the text of the Offer, the Invoice-Offer is a complete and final offer to the Customer to conclude an Agreement (legal offer). Thus, the direction of the Order is not enough for the conclusion of the Agreement, i.e. The customer must agree not only with the terms of the Offer, but also with a specific list of services, the cost and terms of provision specified in the Offer-Invoice. Only after that, the contract for specific services is considered concluded and binding on the Contractor. Therefore, the Contractor has the right to freely change the price and other parameters of the Services before the invoice is issued.
i) Website - an information system located in the https://babylon20.com domain or its subdomains and accessible via the Internet and other communication networks.
j) Reporting period - a calendar month falling on the period from the moment of the conclusion of the Agreement until its termination. The beginning of the first Reporting Period is the date of conclusion of the Agreement, the end of the last Reporting Period - the last day of the Agreement.
1.2. In this Offer, terms and definitions that are not specified in clause 1.1 may be used. In this case, the interpretation of such a term is made in accordance with the text of the Offer. In the absence of an unambiguous interpretation of the term or definition in the text of the Offer, one should be guided by its interpretation, defined: first of all, by the documents that form the Agreement between the Parties, secondly, by documents binding on the Parties, and subsequently by the legislation of the Russian Federation, business customs and scientific doctrine.
2. Subject and procedure for concluding an agreement for online consultation
2.1. The Contractor undertakes to provide Services to the Customer or to the persons indicated by him, and the Customer undertakes to accept the Services and pay.
2.2. Services under the Agreement may include:
- ensuring online meeting with other members of the club
providing topics and questions for discussion
2.3. The subject of a specific Agreement is the Services specified in the Offer Invoice accepted by the Customer or the Contractor's Report.
2.4. Payment of the Offer Invoice on the conditions specified in it is recognized as a complete and unconditional confirmation of the placed Order and the Customer's acceptance of the Contractor's proposal to conclude an Agreement for such an Order.
2.5. Payment of the Offer Invoice or approval of the Report by the Customer confirms the Customer's familiarization and unconditional agreement with this Offer, including the mandatory documents named in it, and creates an Agreement between the Parties on the terms of this Offer, as well as the corresponding Offer Invoice or Report.
2.6. The term of the Agreement corresponds to the period from the moment of acceptance until the end of the term for the provision of the Services specified in the Offer-Invoice or the Report, unless otherwise provided therein. In the absence of an indication of the term for the provision of the Services in the Offer Invoice, the corresponding Agreement shall be deemed concluded for an indefinite period.
2.8. On the basis of this Offer, the Parties can conclude an unlimited number of Agreements, including those with fully or partially coinciding validity periods
3. The procedure and conditions for the provision of talk club services
3.1. A prerequisite for the provision of the Services by the Contractor is the unconditional acceptance and observance by the Customer of the requirements and provisions applied in the relations of the Parties under the Agreement, determined by the following mandatory documents:
3.1.1. Tariffs posted and / or available on the Website on the Internet at: https://babylon20.com and including the name of the Services, tariff rates of remuneration or a method for determining them, as well as possible terms for the provision of Services of a certain type.
3.1.2. The privacy policy posted and / or available on the Site on the Internet at: https://www.babylon20.com/policy, which defines the general procedure for the use of confidential information and personal data of the Parties.
3.2. Specified in clause 3.1. The Offer documents, obligatory for the Parties, constitute its integral part.
4. Remuneration and contract costs
4.1. The remuneration rate under the Agreement is determined in accordance with the Tariffs for the Services approved by the Contractor as of the date of their provision, unless otherwise provided by the Offer Invoice, which agreed on the Order for the provision of the relevant Services.
4.2. In the event of actual acceptance and execution of the Order without issuing an Offer-Invoice, the remuneration under the Agreement is determined at the rates provided for by the Tariffs for the Services approved by the Contractor as of the date of their provision.
5. Calculations under the contract for online consultation
It describes how to pay for services in advance, credit or installments. Payment methods using bank acquiring or electronic money, as well as maintaining a personal account (if any).
6. Modification and termination of the contract for consulting services
6.1 If the Customer cannot use the Service at the paid time, it is necessary to inform the Contractor about this, no later than one day before the provision of the Service.
7. Refund policy
7.1 If you miss a call let us know one day before a call if you can't join a booked meetup. We offer you another time to join for free. You can use this way only one time per one meetup.
7.2 If you missed a call - no refund is provided.

Пользовательское соглашение
1. Определения и термины оферты на консультационные услуги
1.1. В целях настоящего документа нижеприведенные термины используются в следующем значении:
а) Оферта – текст настоящего документа со всеми приложениями, изменениями и дополнениями к нему, размещенный на Сайте и доступный в сети Интернет по адресу: http://babylon20.com
б) Договор – договор на услуги разговорного клуба между Исполнителем и Заказчиком, который заключается и исполняется в порядке, предусмотренном настоящей Офертой.
в) Исполнитель – ООО “БагКетчер” ОГРН:1185476075476, ИНН:5403044169, Новосибирск, ул. Дмитрия Шмонина, д.10/2, которое обязалось оказать услуги по Договору, заключаемому в соответствии с настоящей Офертой.
г) Заказчик – лицо, разместившее Заказ на условиях настоящей Оферты (по заключенному Договору) или намеревающееся выполнить указанные действия (на стадии заключения Договора).
д) Стороны – Исполнитель и Заказчик по заключенному в соответствии с настоящей Офертой Договору.
е) Услуги – услуги разговорного клуба по Договору, заключенному в соответствии с настоящей Офертой.
Перечень Услуг может быть указан в Тарифах и конкретизирован в Счете-оферте.
ж) Заказ – поручение Заказчика на оказание консультационных услуг, полученное Исполнителем в порядке, предусмотренном настоящей Офертой. Условия Заказа излагаются в Счете-оферте и подтверждаются Заказчиком посредством его оплаты либо совершения иных действий, свидетельствующих о согласии оплатить указанный Счет-оферту в соответствии с настоящей Офертой.
В рассматриваемой Оферте Заказ не является обязательным для Исполнителя. Он согласует условия Заказа путем выставления отдельного Счета-оферты в виде письменного или электронного документа.
з) Счет-оферта – составляемый Исполнителем документ, в котором излагаются условия принятого Заказа, включая наименование заказанных услуг, размер вознаграждения, и иные существенные и необходимые условия Договора, заключаемого в соответствии с настоящей Офертой.
В совокупности с текстом Оферты Счет-оферта является полным и окончательным предложением Заказчику заключить Договор (юридической офертой). Таким образом, направления Заказа не достаточно для заключения Договора, т.е. Заказчику необходимо согласиться не только с условиями Оферты, но и конкретным перечнем услуг, стоимостью и сроками оказания, указанными в Счете-оферте. Только после этого договор на конкретные услуги считается заключенным и обязательным для Исполнителя. Поэтому Исполнитель вправе свободно менять цену и иные параметры Услуг до выставления Счета-оферты.
и) Сайт – информационная система, размещенная в домене https://babylon20.com или его поддоменах и доступная с использованием сети Интернет и иных сетей связи.
к) Отчетный период – календарный месяц, приходящийся на период с момента заключения Договора до его прекращения. Началом первого Отчетного периода считается дата заключения Договора, окончанием последнего Отчетного периода – последний день действия Договора.
1.2. В настоящей Оферте могут быть использованы термины и определения, не указанные в п.1.1. В этом случае толкование такого термина производится в соответствии с текстом Оферты. В случае отсутствия однозначного толкования термина или определения в тексте Оферты следует руководствоваться его толкованием, определенным: в первую очередь — документами, образующими Договор между Сторонами, во вторую очередь — обязательными для Сторон документами, и в последующем — законодательством Российской Федерации, обычаями делового оборота и научной доктриной.
2. Предмет и порядок заключения договора на онлайн-консультации
2.1. Исполнитель обязуется оказывать Услуги Заказчику или указанным им лицам, а Заказчик принимать Услуги и оплачивать.
2.2. Услуги по Договору могут включать:

предоставление тем и вопросов для обсуждения
2.3. Предмет конкретного Договора составляют Услуги, указанные в акцептованном Заказчиком Счете-оферте или Отчете Исполнителя.
2.4. Оплата Счета-оферты на указанных в нем условиях признается полным и безоговорочным подтверждением размещенного Заказа и акцептом Заказчика предложения Исполнителя заключить Договор по такому Заказу.
2.5. Оплата Счета-оферты или согласование Отчета Заказчиком подтверждает ознакомление и безоговорочное согласие Заказчика с настоящей Офертой, включая поименованные в ней обязательные документы, и создает между Сторонами Договор на условиях настоящей Оферты, а также соответствующего Счета-оферты или Отчета.
2.6. Срок действия Договора соответствует периоду с момента акцепта до окончания указанного в Счете-оферте или Отчете срока оказания Услуг, если в них не предусмотрено иное. При отсутствии в Счете-оферте указания на срок оказания Услуг соответствующий Договор считается заключенным на неопределенный срок.
2.8. На основании настоящей Оферты Сторонами может быть заключено неограниченное количество Договоров, в том числе с совпадающими полностью или частично сроками действия.
3. Порядок и условия оказания услуг разговорного клуба
3.1. Обязательным условием оказания Исполнителем Услуг является безоговорочное принятие и соблюдение Заказчиком применяемых в отношениях Сторон по Договору требований и положений, определяемых следующими обязательными документами:
3.1.1. Тарифы, размещенные и/или доступные на Сайте в сети Интернет по адресу: https://babylon20.com и включающие наименование Услуг, тарифные ставки вознаграждения либо способ их определения, а также возможные сроки оказания Услуг определенного вида.
3.1.2. Политика конфиденциальности, размещенная и/или доступная на Сайте в сети Интернет по адресу : https://www.babylon20.com/policy , в которой определен общий порядок использования конфиденциальной информации и персональных данных Сторон.
3.2. Указанные в п.3.1. Оферты обязательные для Сторон документы составляют ее неотъемлемую часть.
4. Вознаграждение и расходы по договору
4.1. Ставка вознаграждения по Договору определяется в соответствии с утвержденным Исполнителем Тарифами на Услуги на дату их оказания, если иное не предусмотрено Счетом-офертой, которым согласован Заказ на оказание соответствующих Услуг.
4.2. В случае фактического принятия и выполнения Заказа без оформления Счета-оферты вознаграждение по Договору определяется по ставкам, предусмотренным утвержденными Исполнителем Тарифами на Услуги на дату их оказания.
5. Расчеты по договору на онлайн-консультации
Здесь описывается порядок оплаты услуг авансом, крет или рассрочку. Способы оплаты с использованием банковского эквайринга или электронными денежными средствами, а также ведение лицевого счета (при наличии).
6. Изменение и расторжение договора на консультационные услуги
6.1 Если Зказчик не можетвоспльзоваться Услугой в оплачнное время, необходимо датьобэтом знать Исполнителю, не позднее чем за одни суткидо оказания Услуги.
7. Политика возврата
7.1 Если вы вы не можете присутствовать на оплаченном собрании клуба, дайте нам знать об этом не менее чем за одни сутки. Мы предложим вам другой день. Замену оплаченного дня можно использовать только один раз на одну оплату.
7.2 Если вы пропустили оплаченную встречу клуба - возврат оплаты не предусмотрем.
